Item 7.01 | Regulation FD Disclosure. |
On March 2, 2023, Array Technologies, Inc. (the “Company”) filed a Notification of Late Filing on Form 12b-25 (the “Original Form 12b-25”) reporting that it required additional time to complete its Annual Report on Form 10-K for the period ended December 31, 2022 (the “Annual Report”) principally because the Company required additional time to (i) complete its review of its new subsidiaries’ financial information and consolidation of these results into the Company’s financial statements and (ii) correct errors in the unaudited condensed consolidated financial statements as of and for the quarter and year-to-date periods ended March 31, 2022, June 30, 2022 and September 30, 2022 (the “Non-Reliance Periods”). On March 15, 2023, the Company filed an amendment to the Original Form 12b-25 (the “12b-25 Amendment”) to report that the Company will not be filing the Annual Report within the 15-day extension period provided by the Original Form 12b-25, as additional time is needed to complete the Annual Report. The Company is continuing in its efforts to file the Annual Report as soon as reasonably practicable.
Additionally, on March 15, 2023, the Company issued a press release announcing the filing of the 12b-25 Amendment and the rescheduling of its earnings call for the quarter and year ended December 31, 2022 for 5:00 p.m. Eastern Time on March 21, 2023. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.

Array Technologies, Inc. Announces Updated Earnings Release Date of March 21, 2023
ALBUQUERQUE, NM — (GLOBE NEWSWIRE) — Today Array Technologies (NASDAQ: ARRY) (“Array” or “the Company”), a leading provider of tracker solutions, software and services for utility-scale solar energy projects filed an amendment to its previously filed Notification of Late Filing on Form 12b-25 with the SEC as it determined it would be unable to file its Annual Report on Form 10-K for the year ended December 31, 2022 (the “Annual Report”) within the 15 day extension period, which ends on March 16, 2023, as it requires additional time to complete the Annual Report.
Based on the extension of the time for filing the Annual Report, the Company will now hold the upcoming fourth quarter and full year conference call on March 21, 2023 after market close. The Company does not anticipate any material changes to its previously announced unaudited preliminary 2022 numbers nor does the Company expect the timing for filing the Annual Report will impact the previously announced 2023 guidance ranges. Additionally, the Company does not anticipate the additional five days will affect any of the financial reporting covenants under the credit agreement, dated October 14, 2020, governing the Company’s term loan facility and revolving credit facility, or under the indenture, dated December 3, 2021, governing the Company’s 1.00% Convertible Senior Notes due 2028.
